General Terms and Conditions - Corporate Clients

General information

The General Terms and Conditions (GTC) of FOKUS Sprachen & Seminare GmbH (FOKUS) form an integral part of the contract and form the basis of the framework or individual contractual agreement concluded between the Client and FOKUS. Supplementary agreements must be made in writing.

Teaching/Provision of services

A teaching unit (UE) comprises 45 or 60 minutes by prior arrangement. Lessons are usually held on the client's premises. By prior arrangement, lessons can also be held in the seminar rooms of FOKUS. If the lessons take place in the seminar rooms, FOKUS is not liable for any objects brought in. Appointments promised by FOKUS are subject to the availability of the relevant trainer. FOKUS reserves the right to appoint a substitute trainer at any time if a trainer is unavailable.

FOKUS is not liable for the failure to achieve a specific learning and training success. The recommended training hours for achieving a training goal are based on previous experience and may vary in individual cases. The success of the training is largely determined by the cooperation of the participant(s). Registration
Each measure is concluded in writing under the contractually agreed conditions. The measure is not considered binding until it has been confirmed by FOKUS and signed by the client with legally binding effect.

Prices

In principle, the prices agreed between the Client and FOKUS in euros, in accordance with the last offer and signed order confirmation, shall apply. FOKUS reserves the right to use third-party services provided by FOKUS without
surcharge, even within the term of the contract, to be adjusted accordingly in the event of price increases.
This includes teaching material, shipping costs, examination fees/telc and travel expenses.
Surcharges are generally payable for teaching units that are scheduled for Saturday, Sunday or public holidays. If not explicitly stated in the offer, these surcharges are 10% for Saturday and 20% for Sundays and public holidays, calculated on the regular price per lesson.

Invoicing

Unless otherwise agreed, the invoice is issued at the beginning of the measure and is due within 14 days of the invoice date without deduction. All bank charges incurred with the payment of the invoice shall be borne by the customer.

Cancellations

In the event that the course participant / course group is unable to attend, the course must be cancelled in writing within the business hours of FOKUS at least 24 hours before the start of the course, otherwise the course units booked for this date will be invoiced. Agreed lessons for Monday can be cancelled until the preceding Friday, 12:00 noon. For cancellations of an appointment after a public holiday, the cancellation period
12:00 noon on the previous business day. Special agreements between teachers and course participants are only permitted by arrangement and after approval by FOKUS.

Packages

When booking a package, the total fee (package price) is due at the beginning of the training. Lessons must be booked within 12 months, otherwise the package expires. In this case, FOKUS reserves the right to charge for additional services such as teaching materials or travel costs.

Intensive courses

The teaching units of so-called "weekly intensive courses" must be taken completely within one calendar week. In case of postponement of teaching units to another calendar week, a rebooking fee of 100.00 Euro will be charged.

The following cancellation rules apply to firmly booked weekly intensive courses:

  • Cancellation of the course up to 5 working days before the start of the course: No cancellation fee
  • Cancellation up to 2 working days before the start of the course: 25 % of the course price of the week
  • Cancellation later than 2 working days before the start of the course: Full course price of the week
Confidentiality

Both FOKUS and its representatives and teaching staff undertake to maintain secrecy vis-à-vis third parties with regard to all processes that are normally subject to the requirement of confidential treatment. This also applies to your internal company matters which should come to their knowledge through the lessons.

Under no circumstances will FOKUS pass on private contact details of commissioned trainers to the client. enticement
The Client undertakes vis-à-vis FOKUS not to conclude any contracts directly or via third parties with the trainer appointed by FOKUS.

A lock-up period of 6 months applies to trainers who have terminated their cooperation with FOKUS.

Worldview

FOCUS assures that the company and its trainers do not work according to the technology of L. Ron Hubbard and that they are not associated with the so-called Church of Scientology.
We respect the world views of our clients and participants and will not try to influence them through the lessons.

Severability clause

Should a provision of this contract be invalid, the validity of the remaining provisions shall not be affected. FOKUS undertakes to replace the invalid provision with a valid provision that comes as close as possible to the invalid provision.

Applicable law

All legal relations between FOKUS Sprachen & Seminare GmbH and its clients are governed by the law of the Federal Republic of Germany, excluding the uniform UN Convention on Contracts for the International Sale of Goods (CISG).

We are not willing or obliged to participate in dispute resolution proceedings before a consumer arbitration board.
