General Terms and Conditions - Corporate Clients

Terms and Conditions

The General Terms and Conditions (GTC) of FOKUS Sprachen & Seminare GmbH (FOKUS) form part of the contract and form the basis of the framework or individual contractual agreement concluded between the client and FOKUS. Ancillary agreements must be made in writing.

Teaching/Provision of services

A teaching unit (UE) is made up of 45 or 60 minutes, based on prior agreement. Trainings are generally conducted on the client’s premises. 

Upon consultation, the training can be held in the classrooms of FOKUS. Should the training take place in our classrooms, FOKUS will not held responsible for belongings brought in.

Appointments confirmed by FOKUS are subject to the availability of the respective trainer. FOKUS reserves the right to assign a substitute trainer should a particular trainer not be available.

FOKUS will not be held liable for the failure to achieve a certain learning goal. The recommended training hours aimed at achieving a specific learning goal is based on previous experiences and could differ in individual cases. The attainment of training goals is significantly contingent on the participation of the student.

Registration

Each service is concluded in writing under the contractually agreed conditions. The service is not considered binding until it has been confirmed by FOKUS and signed by the client with legally binding effect.

Prices

As a rule the agreed upon prices in Euro between FOKUS and the client, based on the last offer and signed order confirmation, are applicable. In the case of an increase in price FOKUS reserves the right to accordingly adjust the services of third parties which are passed on by FOKUS without surcharges within the contract period. This includes teaching materials, delivery charges, examination fees and travel costs. Teaching units which take place on Saturdays, Sundays or statutory holidays are generally subject to surcharges. Unless otherwise explicitly stated in the offer, surcharges of 10% for Saturdays and 20% for Sundays and holidays will be added to the regular price per teaching unit.

Invoicing

Unless otherwise agreed upon, the billing takes the form of a package and is done at the beginning of the service. The invoice is then due, without deductions, 14 days from the invoice date. The client bears all banking charges in connection with the payment. In the case of private persons, the invoice amount is due before the commencement of service. In this case, services will only be provided upon complete payment.

Packages

When booking a package, the total fee (package price) is due at the beginning of the training. Lessons must be booked within 12 months, otherwise the package expires. In this case, FOKUS reserves the right to charge for additional services such as teaching materials or travel costs.

Appointment Cancellations

For business clients: Should a course participant or a group not be able to take part in a training, it is expected that the training be cancelled in written form at least 24 hours in advance during the normal working hours of FOKUS. Failure to do this will result in the appointment being charged. Agreed upon hours for a Monday can be cancelled up until 12 noon of the previous Friday. For cancellations of an appointment after a public holiday, the cancellation deadline is 12:00 noon on the previous working day. Special agreements between the trainer and the course participants are only allowed upon consultation with and approval of FOKUS. The contact details of the FOKUS contact person will be stated in the order confirmation.

For private clients: In the case of cancellations by private clients the entitlement to benefits is forfeited.

Course Cancellations

At FOKUS the amount of teaching units stated during the registration or in the offer is considered fixed. A course cancellation of up to one month before the commencement of the course is free of charge. A course cancellation of up to 10 days before course commencement will result in a 20% charge of the agreed upon course fee. A course cancellation at shorter notice will result in a 50% charge of the agreed upon course fee. A refund of tuition in the case of a premature termination or nonattendance is not possible.

Teaching materials and learning platform

Learning materials and learning platforms are identified separately in FOKUS offers and attract an extra cost.

Synchronous online training

In a virtual training (synchronous online training) the respective parties (FOKUS or an employed trainer on the one hand and learners or their companies on the other hand) are responsible for making sure that their terminal devices, internet access and security standards facilitate a smooth training experience without disruptions or lag that may impact the quality of training. Provided that both parties make the effort to minimise technical disruptions, occurring problems not attributable to both parties, such as disruptions in public pipeline network, of up to 10% of the agreed upon training time, are to be tolerated without discounts. Additionally, the conditions for a synchronous online training are equally applicable to all other training measures, specifically regarding cancellation deadlines.

Cancellation of an examination date:
An examination may be cancelled latest 17 days before the booked examination date. This can only be done in written form per e-mail and sent to buero.muenchen@fokussprachen.com. The cancellation of an examination attracts an administrative fee of 60.00 EUR. The following information is required for the cancellation of an examination: examination date, name of the examinee, invoice number, the complete bank details (IBAN, BIC, name of account holder), to which the examination fee (minus administrative cost) is to be sent.

Changing an examination date:
The changing of an examination date and / or level is generally not allowed. These changes may be permitted only in exceptional cases and following a thorough review of the available possibilities by the telc team at our location in Munich. The application for a change of an examination date must be done in the form of an e-mail to buero.muenchen@fokussprachen.com latest 17 days before the booked examination date. The changing of an examination date will result in an administrative fee of 60.00 EUR.

Absence of examinees on the day of examination:
In the case of an absence on the day of an examination the examination fee will not be refunded. Only on presentation of a doctor’s certificate and by sending an e-mail to buero.muenchen[at]fokussprachen.com informing the telc team of one’s absence is a change of examination date possible. This will result in an administrative fee of 60.00 EUR. Important: The e-mail informing the telc team of one’s absence must be sent before the examination begins. The doctor’s certificate must be sent in PDF format to the telc team latest by 5:00 p.m. on the day of the examination. This should be sent to buero.muenchen@fokussprachen.com

Confidentiality

FOKUS, as well as its employees and trainers, undertake to safeguard all processes, which are generally subjected to the principle of confidentiality, from third parties. This also applies to internal matters related to the company, which they are made privy to in the course of teaching. Under no circumstances will FOKUS pass on the private contact details of trainers to the clients.

Poaching

The client undertakes to FOKUS not to enter into a contract, either directly or indirectly, with a trainer who has been contracted by FOKUS. Trainers who end a cooperation with FOKUS are subject to a blocking period of 6 months after the contract has been terminated.

Worldview

FOKUS guarantees that the company and its trainers do not work in accordance with the technology of L. Ron Hubbard and that they are not in connection with the so-called Church of Scientology. We respect the worldviews of our clients and participants and do not try to influence these in our trainings.

Severability clause

Should a provision of this contract be invalid, the validity of the remaining provisions shall not be affected. FOKUS undertakes to replace the invalid provision with a valid provision that comes as close as possible to the invalid provision.

Applicable law

All legal relations between FOKUS Sprachen & Seminare GmbH and its clients are governed by the law of the Federal Republic of Germany, excluding the uniform UN Convention on Contracts for the International Sale of Goods (CISG).
